Functions of Board Members

According to Article XI, Section 3 of the PAAR Bylaws, “The governing body of the Association shall be a Board of Directors consisting of the elected officers, and nine (9) elected REALTOR® Members, and one (1) appointed Affiliate Director. Three (3) of the directors will be elected based on their specialty serving as an Appraiser Director, a Property Management Director, and a Commercial Director, respectively.”

Members of the Board of Directors have duties and responsibilities of governing our association, and the association counts on Directors to participate and deliberate issues that impact our members’ daily business lives. Directors and Officers are a fiduciary of the association meaning they have a special legal responsibility in connection with the administration, investment, and care of PAAR and its assets. This requires Directors to make careful, good-faith decisions in the best interest of PAAR and its members.

Below is an overview of the main functions of both Directors and Officers. You may also refer to PAAR's Bylaws (Article XI, Sections 1 through 4) for further details on the duties of Officers and Directors.

Important Note for All Positions: Per the PAAR Bylaws (Article XI, Section 3): No director shall be elected to serve for more than two consecutive terms of two years. No officer shall serve as director in the year immediately following their term of office.

Director:

PAAR Directors are a fiduciary of the association and have a special legal responsibility in connection with the administration, investment, and care of PAAR and its assets. This requires Directors to make careful, good-faith decisions in the best interest of PAAR and its members. Their decisions must be made independently and free of any undue influence from any person or organization, including any other association, MLS or brokerage. A Director may also be asked to participate in or lead a work group, task force or serve as a Board Liaison for a committee. Directors attend all Board of Directors meetings and are expected to attend PAAR’s membership and broker meetings, major events, and other meetings as they are needed. Additionally, Directors are required to attend PAAR Leadership Training which is typically held in October.

  • Eligibility: A member in good standing with PAAR
  • Term of Office: Two years

Specialty Directors:

Per PAAR's Bylaws, "Three (3) of the directors will be elected based on their specialty serving as an Appraiser Director, a Property Management Director, and a Commercial Director, respectively." (Article XI, Section 4)

The Specialty Directors adhere to the same duties and term of office as other Directors (as listed above).

Affiliate Director:

The Affiliate Director adheres to the same duties as other Directors (as listed above).

Per PAAR's Bylaws, "The Affiliate Director is appointed by the President subject to the approval of the Board of Directors." (Article XI, Section 3)

  • Eligibility: An Affiliate member in good standing with PAAR
  • Term: One year

 

Officer Positions

The officers of the Association shall be: President, a President-Elect, a Treasurer, a First Vice President, a Treasurer-Elect, and an Immediate Past President. Additionally, no officer shall serve as director in the year immediately following their term of office. (Article XI, Section 1 of PAAR Bylaws)

President:

The President presides over the Board of Directors and is a member of the Executive Committee and the Board of Directors. The duties of all officers shall be such as their titles, by general usage, would indicate and such other duties as may be assigned to them by the Board of Directors.

The President is expected to attend all Board of Directors meetings, PAAR membership and broker events, major events, and other meetings as required. The President will attend the National Association of REALTORS® Legislative and Trade Expo, the National Association of REALTORS® Conference and Expo, and the Rocky Mountain Region 11 Conference. The President serves as a Director for Arizona REALTORS® and attends Board meetings with Arizona REALTORS® periodically throughout the year. The President is also an ex-officio member of all PAAR committees.

Additionally, the President is required to attend PAAR Leadership Training which is typically held in October.

  • Term: One year (per PAAR Bylaws Article XI)
  • Eligibility: A member in good standing with PAAR and has fulfilled their term as Director or Officer with PAAR within the six (6) preceding years

President-Elect:

The President-Elect serves one year as President-Elect, one year as President, and one year as Immediate Past President. This position is also a member of the Executive Committee and the Board of Directors. The duties of all officers shall be such as their titles, by general usage, would indicate and such other duties as may be assigned to them by the Board of Directors. The President-Elect will fulfill the duties of the President in the event of the absence of the President and shall perform other duties as delegated by the President or assigned by the Executive Committee.

During the three years, the President-Elect is expected to attend all Board of Directors meetings, PAAR membership and broker events, major events, and other meetings as required. The President-Elect will attend the National Association of REALTORS® Leadership Summit, the National Association of REALTORS® Legislative and Trade Expo, the National Association of REALTORS® Conference and Expo, and the Rocky Mountain Region 11 Conference. The President-Elect is also required to participate in the Arizona REALTORS® Leadership Training Academy. The President-Elect serves as a Director for Arizona REALTORS® and attends Board meetings with Arizona REALTORS® periodically throughout the year. The President-Elect is also an ex-officio member of all PAAR committees.

Additionally, the President-Elect will be required to attend PAAR Leadership Training which is typically held in October.

  • Term: One year as President-Elect, 3 years overall
  • Eligibility: A member in good standing with PAAR and has fulfilled their term as Director or Officer with PAAR within the six (6) preceding years

First Vice President:

This position is a member of the Executive Committee and the Board of Directors. The duties of all officers shall be such as their titles, by general usage, would indicate and such other duties as may be assigned to them by the Board of Directors. The First Vice President shall perform other duties as delegated by the President or assigned by the Executive Committee. Additionally, the First Vice President may also be asked to participate in or lead a work group, task force or serve as a Liaison for a committee. The First Vice President is expected to attend all Board of Directors meetings, PAAR membership and broker events, major events, and other meetings as required. The First Vice President will attend the National Association of REALTORS® Legislative and Trade Expo and will serve as a Director for Arizona REALTORS®, attending Board meetings with Arizona REALTORS® periodically throughout the year. This position is also required to attend the Arizona REALTORS® Caucus and REALTOR® Day at the Capitol. The First Vice President serves as the Board Liaison for PAAR’s REALTOR® Party Committee.

Additionally, the First Vice President will be required to attend PAAR Leadership Training which is typically held in October.

  • Term: One year
  • Eligibility: A member in good standing with PAAR and has fulfilled their term as Director or Officer with PAAR within the six (6) preceding years

Treasurer:

The Treasurer is a member of the Executive Committee and the Board of Directors. The duties of all officers shall be such as their titles, by general usage, would indicate and such other duties as may be assigned to them by the Board of Directors. The Treasurer should have a basic understanding of financial statements. The Treasurer serves as Chair of the Finance committee and as the Board Liaison for the Finance Committee. The Treasurer also serves as a Director for Arizona REALTORS® and attends Board meetings with Arizona REALTORS® periodically throughout the year.

Additionally, the Treasurer will be required to attend PAAR Leadership Training which is typically held in October.

  • Term: One year (plus the previous year as Treasurer-Elect)
  • Eligibility: A member in good standing with PAAR and has fulfilled their term as Director or Officer with PAAR within the six (6) preceding years

Treasurer-Elect:

The Treasurer-Elect serves for one year as Treasurer-Elect and one year as Treasurer. This position is a member of the Executive Committee and the Board of Directors. The duties of all officers shall be such as their titles, by general usage, would indicate and such other duties as may be assigned to them by the Board of Directors. The Treasurer-Elect should have a basic understanding of financial statements. The Treasurer-Elect serves as Vice Chair of the Finance committee. The Treasurer-Elect will fulfill the duties of the Treasurer in the event of the absence of the Treasurer. Additionally, the Treasurer-Elect may also be asked to participate in or lead a work group, task force or serve as Liaison for a committee. The Treasurer-Elect serves as a Director for Arizona REALTORS® and attends Board meetings with Arizona REALTORS® periodically throughout the year.

Additionally, the Treasurer-Elect will be required to attend PAAR Leadership Training which is typically held in October.

  • Term: One year (plus the following year as Treasurer)
  • Eligibility: A member in good standing with PAAR and has fulfilled their term as Director or Officer with PAAR within the six (6) preceding years

Immediate Past President:

The Immediate Past President will have served one year as President-Elect followed by one year as President, with serving as Immediate Past President as the third year of a three-year commitment. This position is a member of the Executive Committee and the Board of Directors. The duties of all officers shall be such as their titles, by general usage, would indicate and such other duties as may be assigned to them by the Board of Directors. The Immediate Past President of the Association shall serve as an officer, ex-officio, and with all Officers and Directors shall have full voting privileges.

The Immediate Past President is expected to attend all Board of Directors meetings, PAAR membership and broker events, major events, and other meetings as required. The Immediate Past President serves as a Director for Arizona REALTORS® and attends Board meetings with Arizona REALTORS® periodically throughout the year.

  • Term: One year as President-Elect, 3 years overall
  • Eligibility: Has served the previous year as President
